1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Zubie Five Sports ("Zubie Five," "we," "us," or "our"), a business headquartered in Tempe, Arizona. By accessing or using our websites (zubiefive.com, portal.zubiefive.com, chat.zubiefive.com, contact.zubiefive.com) or any of our services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them.

These Terms apply to all visitors, users, and clients of Zubie Five, including sports organizations, nonprofits, municipalities, brands, and consulting clients.

2. Description of Services

Zubie Five provides the following services:

• Sponsorship Brokerage: We identify, pitch, and close brand sponsorship deals on behalf of sports organizations, nonprofits, municipalities, and independent sports properties.
• Nonprofit and Sports Marketplace: We facilitate co-branded events, fundraising partnerships, and community activations between nonprofits and sports organizations.
• Pro and Collegiate Consulting: We provide sponsorship strategy, revenue diversification audits, digital infrastructure, and partnership development for D1-D3, NAIA, independent, and motorsports properties.
• Digital Platform: We provide web-based tools including a client intake portal, live chat, and contact form to facilitate our services.

Zubie Five acts as an independent contractor and intermediary — not as an employee, agent, or fiduciary of any organization or brand we represent unless explicitly agreed in a separate written agreement.

3. Commission-Only Model

Zubie Five operates on a commission-only basis for its sponsorship brokerage services. This means:

• There are no upfront fees, retainer fees, or monthly charges for standard brokerage services.
• Zubie Five earns a commission only when we successfully close a sponsorship deal on your behalf.
• The specific commission rate and payment terms will be outlined in a separate written service agreement between Zubie Five and the client organization prior to active engagement.
• Consulting engagements (Pro and Collegiate Consulting) may operate under different fee structures, which will be disclosed in writing before work begins.

Submitting information through our contact form, intake portal, or chat does not create a binding service agreement. A formal service agreement must be executed in writing before Zubie Five begins active sponsorship sales on your behalf.

4. No Guarantees of Results

Zubie Five makes no representations, warranties, or guarantees that:

• We will secure any specific number of sponsors or any sponsorship at all.
• Any sponsorship deal will be of a specific value or meet any minimum threshold.
• Outreach to any specific brand or sponsor will result in a deal.
• Our services will generate any specific revenue outcome for your organization.

Our commission-only model reflects this reality — we only earn when you earn. While we bring professional-grade sales processes to every engagement, sponsorship outcomes depend on many factors outside our control including market conditions, your organization's audience size, geographic market, and sponsor availability.

5. Your Responsibilities

By using our services or submitting information to Zubie Five, you agree to:

• Provide accurate, complete, and up-to-date information about your organization.
• Promptly respond to communications from Zubie Five regarding sponsorship opportunities.
• Not misrepresent your organization's size, audience, programs, or capabilities to Zubie Five or to prospective sponsors.
• Honor any sponsorship agreements or commitments made with brands introduced by Zubie Five.
• Not circumvent Zubie Five's commission by independently closing deals with sponsors introduced by Zubie Five during or within 12 months after an active service agreement.
• Use our websites only for lawful purposes and in accordance with these Terms.
• Not attempt to reverse engineer, scrape, or copy any portion of our websites or tools.

6. Intellectual Property

All content on zubiefive.com and our related properties — including text, graphics, logos, icons, images, and software — is the property of Zubie Five Sports or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of our websites without express written permission from Zubie Five. You may share links to our websites and quote brief passages for non-commercial purposes with attribution.

By submitting information, documents, or materials through our portal or forms, you grant Zubie Five a non-exclusive, royalty-free license to use that material solely for the purpose of providing our services to you.

7. Disclaimer of Warranties

OUR WEBSITES AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ZUBIE FIVE DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our websites will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information provided through our services.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZUBIE FIVE, ITS OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF OUR WEBSITES OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO OUR SERVICES EXCEED THE GREATER OF (A) THE TOTAL COMMISSIONS PAID BY OR TO YOU IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Zubie Five Sports and its officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our websites or services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any information you provide to Zubie Five that is inaccurate, misleading, or fraudulent.

10. Termination

Either party may terminate a service relationship with Zubie Five at any time with written notice. Termination does not affect any commissions owed for deals closed prior to termination, nor does it affect the 12-month circumvention protection described in Section 5.

Zubie Five reserves the right to suspend or terminate your access to our websites at any time, with or without cause, with or without notice.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of courts located in Maricopa County, Arizona for any disputes arising under these Terms.

12. Dispute Resolution

Before filing any formal legal claim, you agree to contact Zubie Five in good faith to attempt to resolve the dispute informally by emailing community@zubiefivesports.com with "Dispute" in the subject line. We will attempt to resolve the dispute within 30 days.

If informal resolution fails, disputes shall be resolved through binding arbitration in Maricopa County, Arizona under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to Terms

We may update these Terms periodically. We will post changes on this page with a revised "Last updated" date. Your continued use of our websites or services after any changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms regularly.
